Terms and Conditions
By engaging with MSoftware's services, you agree to the following terms and conditions governing our relationship.
1. General Provisions
- Our services include custom software development, maintenance, and support.
- Changes to these terms must be agreed upon in writing by both parties.
- Services provided are subject to compliance with local, national, and international laws.
2. Payment Terms
- Payments must be made in accordance with the agreed invoice and subscription plan.
- Once an invoice is generated and a week has passed, full payment is required even if the subscription is discontinued.
- Late payments may result in suspension or termination of services without prior notice.
- All payments are non-refundable unless explicitly agreed otherwise.
3. Subscription and Termination
- Subscriptions remain active until canceled in writing.
- To acquire the website source code and data before two years of subscription, you must pay the remaining term upfront or an agreed fee.
- Cancellation requires one month's notice, and all outstanding payments must be cleared during this period.
4. Intellectual Property
- Ownership of the software source code, website data, and related intellectual property remains with MSoftware until full payment is received.
- Licenses for software use are granted upon full payment and compliance with subscription terms.
- Unauthorized use, replication, or modification of the software is strictly prohibited.
5. Client Responsibilities
- Provide accurate and complete requirements for software development.
- Respond promptly to communications to avoid project delays.
- Maintain the confidentiality and security of access credentials provided by MSoftware.
6. Liability and Indemnity
- MSoftware is not liable for indirect or consequential damages from software use.
- You agree to indemnify MSoftware from claims arising out of misuse or unauthorized modifications to the software.
7. Confidentiality
- Both parties agree to keep proprietary and sensitive information confidential.
- Any breach of confidentiality may result in immediate termination of services and legal action.
8. Dispute Resolution
- Disputes shall first be resolved through mutual negotiation.
- If unresolved, disputes will be settled under the jurisdiction of MSoftware's headquarters.
9. Amendments and Updates
- MSoftware reserves the right to update these terms without prior notice.
